商務合同翻譯公司-商務合同的翻譯要點。翻譯商務合同應當遵循準確嚴謹、規(guī)范通順的原則。涉外商務合同在術語、條款、篇章結構、類型等方面的專業(yè)性越來越強。內容日趨完備精確，這要求我們在翻譯商務合同時必須把準確嚴謹作為合同翻譯的首要原則來遵守。

1. 遵循準確嚴謹(faithfulness and accuracy)的翻譯原則

關于“準確嚴謹”，不僅僅是翻譯合同文件的原則問題，還是一個翻譯作風問題，它要求譯者在翻譯文件時嚴于律己，具有一絲不茍的認真精神和實事求是的科學態(tài)度?！皽蚀_嚴謹”的合同譯文應具備以下兩個要素。

(1)詞語準確 (accuracy)

對合同文件中的一些主要詞語要準確無誤的翻譯。

例如：在當前的國際貨物買賣合同中，當事人可以通過信件、數(shù)據(jù)電文等形式達成協(xié)議，這類合同的成立，一般要簽訂一份“確認書”。在“確認書”中首先規(guī)定一條“茲經(jīng)買賣雙方同意按下列條款成交”，翻譯為：The undersigned Sellers and Buyers have agree to close the following transactions according to the terms and conditions stipulated below.這個譯文中的“條款”一詞應譯成the terms and conditions，短語中的conditions不能漏掉，因為一個合同條款的達成經(jīng)常包含著若干條件。

再如，合同文件中經(jīng)常出現(xiàn)的一個條款“承擔法律和經(jīng)濟上的責任”，一般都譯為“to bear all legal and economic responsibilities arising there from.”這個條款的譯文應該是“沒有問題”的，但請注意：“合同是雙方當事人為了一定的經(jīng)濟目的所簽訂的協(xié)議?！焙贤械摹俺袚韶熑巍睉淖g為financial responsibility 較妥，該條后面的分詞短語arising there from *好也改用含情態(tài)動詞的定語從句which may arise，這樣使人覺得承擔上述責任是有條件的，是一種“或然性”而不是“必然性”。

(2)譯文完整(completeness)

合同文件的翻譯一定要保持譯文的完整性，決不能只求保持原文與譯文在詞量上的對等。對一份合同或協(xié)議的譯者來講，只求保持原文與譯文在詞量上的對等，不注意譯文的完整性，是對原文的不忠實，是一種失職的表現(xiàn)。同時，又要力戒在翻譯中碰到難點，不去深入研究，而是回避矛盾只求“譯完”的行為。

例1：如果上述專有技術和技術資料中的部分或全部被出讓方或第三方公布，受讓方對公開部分則不再承擔保密義務。

原譯文：In case part of all know-how of the above mentioned technical contents have been published by Licensor or any third party, the licensee shall no longer be responsible for keeping the opened parts secret.

這一條款中“保密”應譯成keep secret and confidential譯文中漏掉一個confidential顯得不很嚴謹：另外，在In case part of all know-how of the above mentioned technical contents have been published by Licensor or any third party之后要增譯一句Licensee obtain evidence of such publication。這樣才使得這一條款完整，因為一方不承擔保密義務必須有理由，對方堅持要求時，必須出示足夠的證據(jù)。

例2：從4月1日起到10月20日止這一期間內交貨，但以買方信用證在3月20日前到達賣方為限。

原譯文：Shipment during the period beginning on April 1 and ending on Oct. 20 subject to Buyer’s Letter of Credit reaching Seller before Mar. 20.

以上條款中交貨期間應包括4月1日和10月20日這兩天，所以，應補譯both date inclusive; 另外，買方信用證到達日期也包括三月20日這一天，因此，Mar. 20之前的介詞除用before外還應增加on, 譯成subject to Buyer’s Letter of Credit reaching Seller on and before Mar. 20。句中的subject to在這里指“以……為準”，以……為有效”，(例如：This offer is subject to our final confirmation. 本報價以我方*后確認為準)。

2. 遵循規(guī)范通順(expressiveness and smoothness)的翻譯原則

國際商務合同翻譯的第二個標準是“規(guī)范通順”。所謂規(guī)范通順，就是要把理解了的東西，用規(guī)范通順的、合乎合同語言要求的文字表達出來。

例如：乙方保證是本合同規(guī)定提供的一切專有技術和技術資料的合法所有者，并有權向甲方轉讓。如果發(fā)生第三方指控侵權，由乙方負責與第三方交涉，并承擔法律上和經(jīng)濟上的全部責任。

原譯文：Party B guarantees that he is the legitimate owner of the know-how and technical documentation supplied to Party A in accordance with the contract and that he has the right to transfer them to Party A. If the third party accuses party B of infringement, Party B shall take up the matter with the third party and bear all legal and economic responsibilities arising therefrom.

分析：一、Party B guarantees that he…該句的賓語從句中主語用he顯得有些含混，應重復Party B。

二、supplied to Party A應在分詞supplied后加譯by Party B,使全句完整明晰。

三、in accordance with the contract，這句原文的含義是指“按合同中規(guī)定的條款”，所以應改成in accordance with stipulations of the contract 才能體現(xiàn)出與原文的含義的一致性;he has the right to transfer them to Party A這句譯文不大像“行話”。此外，句中的兩個代詞也應換成名詞，因為在英文合同文件中，出現(xiàn)過的名詞盡量不用代詞代替，以免產生誤解。he has the right to transfer應譯為Party B is lawfully in a position to transfer, 這樣更能強調乙方對技術和資料占有的絕對合法性。

四、if the third party accuses party B of infringement這個句子明顯有兩處錯誤;(1) the third party 給人一種甲乙雙方似乎都已知道“第三方”是誰的印象，而實際并非如此，所以應改為any/a third party; (2) to accuse sb of sth 一般是指控訴某人觸犯刑律，而這句中的“指控”僅指一般的民事侵權，故應改成 to bring a charge of infringement.

五、party B shall take up the matter with the third party，此譯文中的take up sth. with sb.是指“口頭或書面向某人提出某事”沒有能確切地譯出原文中，由乙方負責與第三方交涉本意，故應改成Party B shall be responsible for dealing with the third party.

六、bear all legal and economic responsibilities arising therefrom，“全部責任”指的是“由于上述”原因而發(fā)生的乙方應承擔的責任，所以“全部”應選用full而不用all。另外，“承擔由此引起的法律和經(jīng)濟責任”應譯為bear the legal and financial responsibilities which may arise therefrom.

經(jīng)審校改譯為：

Party B guarantees that Party B is the legitimate owner of the know-how and technical documentation supplied by Party B to Party A in accordance with the stipulations of the Contract, and that Party B is lawfully in a position to transfer the above-mentioned know-how and technical documentation to Party A. If any/a third party brings a charge of infringement, Party B shall be responsible for dealing with the third party and bear the full legal and financial responsibilities with may arise therefrom.
